Introduction
Your access to and use of the JustBell website (justbell.uk) and services is subject to the following Terms of Use, which, along with our Privacy Policy, constitute this “Agreement” between you or the entity you represent (hereinafter referred to as “You”) and IOT SYSTEMS LTD, a company registered in England and Wales with company number 15219406 (hereinafter referred to as “JustBell”).
Once you select “I Agree” and complete the registration procedure, or you use the service in any form, both JustBell and you shall be subject to this Agreement, and relevant terms herein may be subject to cross-reference and interpretation.
By accessing or using any of JustBell’s platform, website, or services, you acknowledge and agree that you have read, understood, and agreed to be bound by this Agreement, including any amendments made by JustBell at any time. You also represent and warrant that you are at least 18 years of age and are legally capable of entering into a binding contract. If you enter into this Agreement on behalf of an entity, you represent and warrant that you have the power and authority to do so and to bind that entity to the terms and conditions of this Agreement. If you do not agree to this Agreement, you are not authorised to access our website, register, or use any of our services.
Please review these Terms carefully before you use our products and services. These Terms apply to all users of our website, including without limitation users who are browsers, customers, merchants, vendors, and/or contributors of content (hereinafter referred to as “User” or “Users”).
If you intend to use or purchase a specific service or product on the JustBell website, you may also be asked to confirm relevant special provisions, which will create separate obligations that you must comply with accordingly, or you will no longer be able to access the relevant services and products. You are expected to read these carefully before choosing whether or not to accept them.
A. USER’S ACCOUNT AND DECLARATION
1. Account Registration
1.1. You are responsible for providing accurate personal information during your registration or use of our services, such as your address, email, postal address, and other contact information. You agree to promptly update your account information upon any changes. If there are indications that your information is outdated or incorrect, JustBell may send you an enquiry, and you shall update your information and/or provide the relevant documents as requested. You shall be responsible for any consequences and losses arising from the use of your account with incomplete or inaccurate information, including the possible inability to use your account, which may be frozen, closed, or subject to failed registration or recertification, as we reserve the right to terminate or suspend access to all or part of its functions in such cases.
1.2. For the provision of certain products or services, JustBell may ask you to provide further identification information, and you may use such products or services only after your account passes the required authentication or qualification checks.
1.3. By completing the information as prompted on the registration page and completing the relevant process, having accepted this Agreement, you may obtain a JustBell account.
1.4. The account name set or confirmed by you during registration (hereinafter referred to as “account name”) and your password will constitute your account after successful registration (referred to together as “account”). You are fully responsible for the authenticity, legality, and validity of your registration information. Your account name shall not violate applicable laws and regulations or JustBell’s policies, and shall not easily lead to confusion between your identity and that of another person or entity, including JustBell. Otherwise, your account may not be successfully registered, or JustBell has the right to close your account with prior notice, and you shall bear all resulting legal responsibilities alone. Your account is the sole identification for all activities on the JustBell website, and your credentials shall not be shared.
1.5. In the following cases, JustBell has the right to carry out unified treatment on multiple JustBell accounts that, at its discretion, are owned by one legal subject and/or associated legal subject. For example, if information such as identification number, phone number, payment ID, device, or address is common across accounts, JustBell may determine that these accounts belong to the same user.
1.6. If you are subject to trade restrictions, sanctions, or other restrictions imposed by any country, international organisation, or region, you may not be able to register or use JustBell’s services.
2. Use and Security of Account
2.1. You have the right to use your account, access the JustBell website, and use other services provided by JustBell, upon accepting this Agreement and completing the relevant processes. JustBell may inform you of the progress of your requests and remind you to take necessary actions by email, website message, SMS, telephone, or other means. You shall log in to your JustBell account in a timely manner to check and complete any trading operations.
2.2. A JustBell account belongs to a unique legal subject, either a natural person or a legal entity, unless otherwise provided by law, determined by a court, or agreed between you and JustBell. Consequently, your JustBell account may not be transferred to, granted to, or inherited by others in any way.
2.3. You shall always exit the website and log out of your account at the end of each online session. You shall bear any damage or negative effects resulting from the disclosure of account information by yourself, or any attack, fraud, or other action against your account. You fully understand and agree that JustBell cannot and will not take responsibility for any of the above, and you shall seek compensation for infringement through judicial, administrative, or other appropriate legal channels.
2.4. JustBell takes all reasonable technical measures on the server side to guarantee the security of your account. If, however, you discover that others are using your JustBell account without authorisation, you must notify JustBell immediately. JustBell will assist you in freezing your account, changing your password, or completing other security settings. You understand that JustBell will take a reasonable amount of time to act on your request, and JustBell is not responsible for any consequences that arise before JustBell is notified or any consequences attributable to you (including but not limited to your own actions).
2.5. While using our website and services, you shall be responsible for all actions carried out under your account, including but not limited to online signing of agreements, posting of information, purchase of products and services, and disclosure of information. You agree to hold us and our affiliates harmless from any claims and liabilities arising out of, connected with, or related to your use of our website or your breach of this Agreement, and to indemnify us in the event that we suffer damages as a result of such conduct.
B. WEBSITE PRACTICES
3.1. You have the right to use the services provided by JustBell, and you are expected to use them in accordance with applicable United Kingdom laws and regulations, industry practices, and JustBell’s website policies and rules. You also bear responsibility for the timely management of payments and services in accordance with this Agreement and the relevant provisions confirmed at the time of the provision of specific services.
3.2. JustBell may contact you and send you notices by one of the following means: phone call, email, website message, or text message. All such notices are deemed to have been delivered upon successful delivery. You are responsible for the accuracy and current validity of the contact information that you have provided.
3.3. You shall refrain from any conduct, or any related attempt, that breaches network security, including the use of technical or other measures to disrupt or interfere with the JustBell website or other users’ software and devices.
3.4. Order Placement and Requests
3.4.1. You understand and agree that the prices and other product and service information displayed on JustBell’s website constitute an invitation to treat, and the order you place constitutes a contractual offer you send to JustBell. A contractual relationship between you and JustBell can only be considered to have been established when the product in your order is actually dispatched or delivered to you.
3.4.2. You shall carefully confirm the information in your order, including model, quantity, price, delivery details, and any other relevant information.
3.4.3. You and/or the entity you represent promise to comply with the export control and trade sanctions laws and regulations of the United Kingdom. If there is a reasonable suspicion that any of your conduct violates applicable export control or sanctions laws, JustBell may notify you at its sole discretion and may take any appropriate and necessary action, including but not limited to asking you to delete any unlawful content, disabling or suspending your right to use JustBell products, or restricting your access to your account.
3.4.4. You understand and agree that your use of the JustBell website for development and its generated products is independent of JustBell. Therefore, you must take full responsibility for your own development results. If JustBell and/or its affiliates suffer losses or damages as a result of your conduct, you shall compensate JustBell and/or its affiliates fully in accordance with applicable law.
C. PRIVACY AND PERSONAL DATA
4.1. JustBell, having the protection of personal data as a priority, takes appropriate measures in accordance with applicable data protection legislation, including the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018, to protect your data. JustBell has established a separate Privacy Policy, which forms an integral part of this Agreement. For any related issue, please refer to our Privacy Policy.
D. INTELLECTUAL PROPERTY
5.1. Except as otherwise indicated, JustBell and its affiliates own the copyright to the JustBell website content, including but not limited to logos, texts, symbols, graphics and combinations thereof, service names, technical files, and other identifiers. JustBell makes no proprietary claims to any third-party copyright, trade mark, or other intellectual property that appears on the JustBell website.
5.2. We value and respect intellectual property rights and we expect our users to do the same. You agree not to use our intellectual property without our prior written consent, as you are expected to respect the intellectual property of others that appears on the JustBell website. We reserve the right to restrict your access, terminate services, and refuse refunds if you infringe the legitimate rights or interests of JustBell and/or third parties.
5.3. When using JustBell services, JustBell may present its reference code or software to facilitate your use. If the software is third-party open-source software, you will follow its instructions on the relevant page, and you may be permitted operations such as downloading and secondary development of the software. You shall understand that the intellectual property of any proprietary JustBell code is owned by JustBell, and you shall clearly indicate the holder of intellectual property during the use of such code. JustBell assumes no responsibility for your use of such code and software or any consequences resulting therefrom.
5.4. If any person, organisation, or individual considers that any content on the JustBell website (including reprinted articles, product information, etc.) may infringe any of its legitimate rights, they may send a written notice to JustBell at support@justbell.uk, and JustBell will address such issue as soon as reasonably practicable after receiving a qualified notice.

E. CONFIDENTIALITY
All confidential information provided during your account registration or use of JustBell services shall be used by us solely for the purposes of rendering services pursuant to this Agreement and shall not be disclosed to any third party without your prior consent, unless:
6.1. Such information is publicly available at the time it is provided or becomes publicly available thereafter through no fault of JustBell.
6.2. It is required to be disclosed by any administrative, judicial, or other competent authority in the lawful and appropriate exercise of its jurisdiction.
F. SCOPE AND LIMITATION OF LIABILITY
7.1. JustBell hereby reminds you that during the use of its services, you shall comply with the laws of England and Wales and the United Kingdom, and you shall follow JustBell’s practices as mentioned in this Agreement. JustBell assumes no responsibility for any unlawful conduct on your behalf during the use of its services.
7.2. The information that JustBell users upload to the JustBell platform (including but not limited to username, company name, contact person and information, related images, and news) is provided by the users themselves, who, in accordance with applicable law, are fully responsible for the information provided.
7.3. To the maximum extent permitted by applicable law, JustBell bears no liability for any indirect, punitive, or consequential loss associated with or arising from this Agreement. You also understand and agree that if you obtain any product or service from a third party that used the JustBell platform to provide it, the third-party service provider is responsible for the services provided to you, and JustBell assumes no responsibility for such third-party services.
7.4. Nothing in this Agreement shall limit or exclude JustBell’s liability for death or personal injury caused by its negligence, for fraud or fraudulent misrepresentation, or for any other liability that cannot be limited or excluded by law.
G. LIABILITIES FOR BREACH OF THIS AGREEMENT
8.1. If one of the following occurs on your behalf, you are deemed to be in breach of this Agreement:
• Violation of relevant laws and regulations during the use of JustBell services;
• Violation of this Agreement or its amendments.
8.2. If, as a result of any violation of this Agreement by you or an unlawful act carried out under your account, JustBell and/or its affiliates suffer direct financial loss, loss of goodwill, or are obligated to compensate a third party, pay relevant settlement payments, solicitors’ fees, and court costs, or suffer any other indirect damages, you are liable to pay compensation to them.
H. FORCE MAJEURE
9.1. If the JustBell website cannot operate normally due to the following force majeure events or accidents, JustBell is not liable for damages:
9.1.1. Force majeure including but not limited to: acts of God, governmental acts or decisions or omissions or requirements of a regulatory authority, natural disaster, epidemic, earthquake, flood, fire, storm, torrential rain, hurricane, war, hostile and military or terrorist acts, revolution, military or civil unrest, riot, civil commotion, strike, labour unrest, work stoppage or factory closure, omission or disruption of public services, or other events beyond JustBell’s reasonable control.
9.1.2. Given that JustBell’s services are based on internet services, unexpected circumstances that affect the normal operation of the internet shall be included in this Agreement as a force majeure factor, such as: hacker attacks, virus attacks, network failures, bandwidth issues, domain name resolution failures, power supply failures, communication network failures, technology provider’s service delays, service barriers, and other third-party factors, as well as any other events similar to the foregoing or that may have similar consequences.
9.1.3. Short-term system maintenance of the JustBell website and platform, provided prior announcement or notice has been given.
9.2. In the event that a force majeure event continues for a period of more than one (1) month, either party is entitled to withdraw immediately and without liability, in writing, from this Agreement, reserving its other rights.
I. JURISDICTION
10.1. The validity, interpretation, modification, and execution of this Agreement are subject to the laws of England and Wales.
10.2. If a dispute arises between the parties regarding this Agreement, the parties will first attempt to resolve it amicably. If an amicable resolution cannot be reached, the matter shall be resolved by the courts of England and Wales, to the exclusive jurisdiction of which the parties submit.
J. AMENDMENTS AND TERMINATION OF THE AGREEMENT
11.1. JustBell reserves the right to modify this Agreement and relevant service policies. In case of amendments, the updated Agreement, upon publication on the JustBell website, will replace the original without further action. You are advised to periodically check the website for any modifications. If you continue using the services after a modification, you will be deemed to have accepted the revised terms.
11.2. In the event that your account is cancelled or the services are terminated by mutual agreement, this Agreement will also be terminated. However, the termination of this Agreement does not affect the validity of the provisions regarding confidentiality, intellectual property, and other applicable terms which by their nature are intended to survive termination.
K. CONSUMER RIGHTS
12.1. Nothing in this Agreement affects your statutory rights as a consumer under the Consumer Rights Act 2015, the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, or any other applicable consumer protection legislation.
12.2. Where you purchase goods or services from JustBell as a consumer, you have the right to cancel your order within 14 days of receiving the goods, subject to the exceptions set out in applicable consumer regulations. Details of our cancellation and returns policy are available on our website.
L. ENTIRE AGREEMENT
13.1. All provisions herein are severable, and in the event any provision is held invalid or unenforceable, it shall not affect the validity and enforceability of the remaining provisions of this Agreement.
13.2. Our failure to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right. No waiver by us is effective unless communicated to you in writing, and it operates only in respect of that particular right or occasion.
13.3. JustBell has the right to transfer all or part of its rights and obligations for services to any of its affiliates by announcement on its official website (justbell.uk) or email notice. Unless otherwise agreed, JustBell may also commission its affiliates or other legal entities to provide you with one or more specific professional services on the JustBell website. In this case, you may be asked to enter into relevant special terms or conditions with the above company.
